Be a driving force for our cooperative! Shareholding members can contribute in a rewarding capacity by joining the Modo Board of Directors.  More than a role, it's a fulfilling way to actively advocate for the evolving needs of our members and ensure Modo stays true to its social purpose.

Every year, we invite Modo Plus shareholding members* to be an integral part of our cooperative's future by participating in the Board of Directors elections. You have the opportunity to both stand as a candidate and vote for representatives who align with your vision.

*Only shareholding members in good standing as of March 10, 2024 got access to the 2024 vote. For Business members, only the designated voting delegate were allowed to vote.

AGM

Modo’s 2024 Annual General Meeting was held virtually, via Zoom, on Wednesday, April 24, 2024, starting at 6:30 pm, PST.

Board duties, composition and objectives

What are the board of directors' responsibilities?

The Board of Directors provides direction and oversight to the organization. Tasks include:

- Reviewing the Strategic Plan and setting goals for the organization (including financial, operational, social and environmental goals)

- Reviewing the Enterprise Risk Management Plan

- Reviewing the performance of Modo’s CEO

- Monitoring the financial performance of the organization

- Reviewing and setting policy as required

- Participating in outreach and publicity events as requested by staff

- Liaising with the wider co-operative community and ensuring adherence of co-op principles through Modo operations.

What our directors don't do?

Directors are not involved in the day-to-day operations of the co-operative, and do not deal with issues such as:

- Vehicle buying, maintenance issues, or vehicle placement•

- Customer service issues

- External contracts or partnerships with developers, transit authorities, or any other partners

- Staffing issues, except as related to the CEO

- Business development, marketing, or advertising of services

- Public and/or media relations (except as requested by staff)

How to run for the board?

Complete the nomination package

Read the Director Nomination Package and complete the two following forms by 5pm on Sunday, March 10th, 2024:

- Directors Nominations Form and Consent to Act (page 2 & 3)

- Standards of Conduct and Confidentiality (page 7)

Submit the forms to nominations@modo.coop or by mail at Modo’s office at 200–470 Granville Street, Vancouver, BC (to be received before the Close of Nominations).

Attend the prospective director candidate workshop

Prospective candidates are strongly encouraged to attend the virtual workshop organized to learn more about the opportunity to serve on Modo’s Board of Directors and to have your questions answered. In 2024, the Prospective Director candidate workshop was on Thursday, February 8th, at 7PM. If you’d like to receive the replay, please email nominations@modo.coop.

Create your nomination statement & video

Submit a written nomination statement and take part in a video. Guidelines for the written submission and video questions/format is announced at the Prospective Director Meeting and reshared in the March Modo Newsletter. The submission deadline for these materials will be 5 pm on March 29th, 2024.
